1. Acceptance of These Terms
These Terms & Conditions govern your access to and use of Prosyo and its related websites, applications, features, and services. By creating an account, starting a trial, purchasing a subscription, joining a workspace, or otherwise using Prosyo, you agree to these Terms.
If you use Prosyo on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.
2. Eligibility
You must be legally capable of entering into a binding agreement and permitted to use the service under applicable law. Prosyo is intended for business and professional use and is not directed to children.
3. Accounts and Workspaces
You are responsible for the accuracy of information associated with your account and workspace, protecting your credentials, controlling access granted to team members, and all activity performed through accounts or workspaces under your control.
You must promptly take reasonable steps to secure your account if you suspect unauthorized access. You may not share credentials in a way that circumvents plan limits, security controls, or account restrictions.
4. Free Trials and Paid Subscriptions
Prosyo may offer free trials, free plans, promotional access, or paid subscriptions. Features, limits, included usage, trial length, and plan availability may vary and may change over time.
Unless otherwise stated at the time of purchase, a trial may convert to a paid subscription only where you have provided a valid payment method and the applicable purchase flow clearly states that conversion will occur. Paid access is subject to the pricing and plan terms presented when you subscribe.
5. Credits, Usage Limits, and Fair Use
Some Prosyo features may be measured by credits, connected accounts, records, actions, usage allowances, or other limits. Your plan may include a defined allocation for a billing period or subscription term.
Unused credits or allowances do not automatically carry forward unless Prosyo expressly states otherwise. Prosyo may apply reasonable safeguards to prevent abuse, protect service stability, enforce third-party limits, or address usage that materially exceeds the intended scope of a plan.
6. Billing, Renewals, Cancellation, and Refunds
Fees, billing intervals, taxes, renewal terms, and included usage are shown during purchase or in the applicable order information. Unless stated otherwise, recurring subscriptions may renew automatically for the applicable billing period until cancelled.
You are responsible for keeping billing information current and paying applicable charges. Cancellation generally prevents future renewal and does not automatically reverse charges already incurred.
Refunds are provided only where required by applicable law or where Prosyo expressly offers a refund right for the applicable purchase. Promotional, trial, credit, or usage-based amounts may be subject to separate conditions disclosed when offered.
7. Connected LinkedIn, Email, and Mailbox Accounts
Prosyo may allow you to connect third-party sales, social, email, or mailbox accounts. You may connect only accounts that you are authorized to use. You are responsible for complying with the rules, permissions, rate limits, acceptable-use policies, and terms of each connected provider.
Prosyo does not control whether a third-party provider changes, restricts, suspends, or disables access to its service. A connected account may stop functioning if the provider changes its service, your permissions expire, your account is restricted, or the connection otherwise becomes unavailable.
8. Prospect Data and Data Responsibility
You retain responsibility for prospect, lead, contact, company, and related data that you upload, import, collect, enrich, or otherwise use through Prosyo. You must have a lawful basis, permission, or other valid right to use that data for your intended purpose.
You must not use Prosyo to obtain, process, combine, or distribute personal information in a manner that violates applicable privacy, data protection, employment, consumer protection, or other laws.
9. Lawful Outreach and Anti-Spam Obligations
You are responsible for ensuring that emails, social messages, sequences, follow-ups, and other outreach sent or managed through Prosyo comply with laws and rules that apply to you, your recipients, and your chosen channels.
This includes, where applicable, requirements relating to sender identification, truthful content, consent or other lawful grounds, honoring opt-out or unsubscribe requests, suppression lists, marketing preferences, and restrictions on automated or unsolicited communications.
Prosyo does not provide legal advice and does not determine whether a particular campaign, list, message, or recipient is lawful for your use case.
10. Prohibited Use
You may not use Prosyo to:
- send unlawful, deceptive, abusive, harassing, fraudulent, or materially misleading communications;
- send spam or operate campaigns in violation of applicable anti-spam, privacy, consumer protection, or platform rules;
- scrape, harvest, collect, or use data where you do not have the right to do so;
- impersonate another person or organization or misrepresent your identity, affiliation, or authority;
- circumvent provider restrictions, access controls, safety systems, rate limits, or plan limits;
- interfere with, disrupt, probe, attack, reverse engineer, or misuse the service except where such restrictions are prohibited by applicable law;
- upload malware or harmful code, facilitate fraud, or use the service for unlawful surveillance or exploitation;
- resell, sublicense, or make the service available in an unauthorized manner; or
- use Prosyo in a way that creates material risk to the service, Prosyo, other users, recipients, or third parties.
11. Campaign Automation
Prosyo may help automate sequences, timing, follow-ups, routing, and other campaign actions. You remain responsible for campaign configuration, audiences, schedules, message content, stopping rules, exclusions, recipient preferences, and the consequences of automated actions.
You should review campaigns before launch and monitor active campaigns. Automation can continue acting on the instructions and rules you configure until the campaign is paused, completed, restricted, or otherwise stopped.
12. AI-Generated Content
Prosyo may provide AI-assisted suggestions, personalization, classification, summaries, drafts, or other generated content. AI outputs may contain mistakes, unsupported statements, unsuitable wording, or inaccurate assumptions.
You are responsible for reviewing AI-generated content before using or sending it and for ensuring it is lawful, accurate, appropriate, and consistent with your obligations. Prosyo does not guarantee that an AI-generated output is accurate, unique, non-infringing, compliant, or suitable for any specific purpose.
13. Website Visitor and Intent Features
If you use Prosyo features to measure website visits, engagement, or intent, you are responsible for ensuring your websites and properties provide any legally required notices, consent choices, disclosures, and privacy controls.
You must not use visitor or intent features to unlawfully identify, profile, discriminate against, or target individuals, or to bypass privacy choices or browser/device controls.
14. Third-Party Integrations
Prosyo may interoperate with third-party products and services. Those third parties are independent from Prosyo, and your use of them is governed by their own terms and policies.
Prosyo is not responsible for third-party changes, outages, restrictions, data practices, pricing, functionality, or decisions. Prosyo may add, modify, suspend, or discontinue an integration where necessary or commercially reasonable.
15. Service Availability and Changes
Prosyo aims to provide a reliable service but does not guarantee uninterrupted, error-free, or continuously available operation. Features may occasionally be unavailable because of maintenance, updates, security actions, third-party dependencies, capacity limits, internet conditions, or events outside reasonable control.
Prosyo may modify, add, remove, or discontinue features, plans, limits, or parts of the service. Where a change materially affects a paid subscription, Prosyo may provide notice where reasonably appropriate or required by law.
16. Intellectual Property
Prosyo and its licensors retain all rights, title, and interest in the service, including its software, design, branding, documentation, and other materials provided by Prosyo, except for content and data owned by users or third parties.
Subject to these Terms and payment of applicable fees, Prosyo grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business purposes during the applicable subscription or authorized access period.
17. Your Content and Data
As between you and Prosyo, you retain ownership of the content and data you submit to the service, subject to rights held by third parties. You grant Prosyo the rights reasonably necessary to host, process, transmit, display, reproduce, transform, and otherwise handle that content and data to provide, secure, support, and improve the service.
You represent that you have the rights and permissions necessary for Prosyo to process the content and data you provide in accordance with your use of the service.
18. Confidentiality and Security Responsibilities
You are responsible for using reasonable safeguards when handling confidential information through Prosyo, including controlling workspace membership, protecting credentials, reviewing permissions, and avoiding unnecessary disclosure of sensitive information.
If you receive non-public information belonging to Prosyo or another party through the service, you must use it only as authorized and protect it with reasonable care.
19. Suspension and Termination
Prosyo may restrict, suspend, or terminate access where reasonably necessary to protect the service or third parties, respond to suspected fraud or abuse, address non-payment, comply with law, enforce these Terms, or prevent material security or operational harm.
You may stop using Prosyo at any time and may cancel a subscription in accordance with the applicable billing terms. Termination does not eliminate obligations that accrued before termination. Provisions that by their nature should survive termination will continue to apply.
20. Disclaimers
To the maximum extent permitted by applicable law, Prosyo is provided on an “as is” and “as available” basis. Prosyo does not make warranties that the service will be uninterrupted, error-free, completely secure, or suitable for every campaign, recipient, jurisdiction, business objective, or connected third-party service.
Prosyo does not guarantee delivery, inbox placement, response rates, meetings, revenue, sales outcomes, provider account status, data accuracy, prospect quality, or AI output quality.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Prosyo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunities, data, or business interruption arising from or related to the service.
Where liability cannot be excluded, Prosyo’s aggregate liability arising from or relating to the service will be limited to the amount you paid to Prosyo for the service giving rise to the claim during the twelve months before the event giving rise to liability, unless applicable law requires a different amount or does not permit this limitation.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
22. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold Prosyo harmless from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful use of the service, your campaigns or communications, your content or data, your violation of these Terms, or your infringement of another party’s rights.
23. Changes to the Service or These Terms
Prosyo may update these Terms to reflect changes to the service, business practices, pricing models, legal requirements, or risk controls. The Last updated date at the top of this page will be revised when these Terms change.
Where required by applicable law, Prosyo may provide additional notice of material changes. Continuing to use the service after updated Terms become effective means you accept the updated Terms to the extent permitted by law.
24. Governing Law and Disputes
Prosyo does not designate a governing jurisdiction in these Terms unless one is separately identified in an applicable order form, written agreement, or other binding notice provided to you. In the absence of such a designation, governing law and forum will be determined by the laws and jurisdiction rules applicable to the relationship between you and Prosyo.
Nothing in these Terms limits mandatory rights or remedies that cannot be excluded under applicable law.
25. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will continue in effect.
